Terms of Service

1. Scope
These Terms of Service (ToS) apply to all services provided by Auryx AI LLC, 30 N Gould St Ste N, Sheridan, WY 82801, USA (hereinafter "AURYX") through the platform auryx.cloud.
AURYX provides AI-powered content creation as a Software-as-a-Service (SaaS) for business customers (B2B). By registering and using the platform, the customer accepts these Terms.
2. Service Description
AURYX uses AI technology to automatically create content for its customers' brands. The scope of services depends on the chosen subscription plan (Text Engine, Visual Engine, or Media Engine) and includes the generation of texts, images and/or videos, the assignment of an AI mascot, and the distribution to social media platforms authorized by the customer.
3. Contract & Subscription
The contract is concluded when a paid subscription is purchased through the platform. Subscriptions are billed monthly. Payment is processed through Stripe.
Subscriptions renew automatically for one month unless cancelled before the end of the current period. Cancellation is possible at any time through the dashboard or by email to legal@auryx.cloud.
4. Pricing & Payment
The prices displayed on the website at the time of contract conclusion apply. All prices are net prices in Euros. Any applicable taxes (VAT, withholding tax) are the responsibility of the customer.
In case of payment default, AURYX reserves the right to suspend access to the platform and cease content production until the outstanding amount is settled.
5. Usage Rights & Ownership
The customer receives a simple, non-exclusive, perpetual right to use AURYX-generated content for business purposes. AI-generated content is subject to the applicable copyright laws of the respective country. AURYX does not guarantee the copyrightability of the generated content.
6. Customer Obligations
The customer ensures that the brand information, logos, and product data provided are accurate and do not infringe on third-party rights. The customer is responsible for the content published through their social media channels.
The customer grants AURYX the necessary access rights to their social media accounts (via OAuth authorization) and may revoke these at any time.
7. Availability & Liability
AURYX aims for a platform availability of 99% but cannot guarantee uninterrupted availability. Planned maintenance will be announced at least 24 hours in advance. AURYX is not liable for damages caused by AI-generated content, including lost profits, reputational damage, or losses, unless caused by gross negligence or intent on the part of AURYX.
8. Data Protection
AURYX processes personal data in accordance with the Privacy Policy at auryx.cloud/privacy. The GDPR (for EU customers) and applicable US privacy laws apply.
9. Governing Law & Jurisdiction
The laws of the State of Wyoming, USA shall apply. The place of jurisdiction is Sheridan, Wyoming, to the extent permitted by law. For EU customers, mandatory consumer protection provisions of the respective country of residence remain unaffected.
10. Changes to Terms
AURYX reserves the right to amend these Terms with 30 days' notice. Changes will be communicated by email to the registered address. If the customer does not object within 30 days of receiving the change notification, the new Terms shall be deemed accepted.
11. Revenue Share
AURYX receives a revenue share of 10% of net revenue on products that are verifiably sold through content created by AURYX. Attribution is determined through technical UTM parameter tracking (utm_campaign=auryx_engine). Only orders that originate from such an attributed link are subject to the revenue share.
The revenue share is settled monthly via Stripe Connect. AURYX automatically deducts the agreed percentage as a platform fee (Application Fee) during payment processing. The customer receives the remaining amount minus the revenue share and any payment processing fees directly to their connected Stripe account.
If the customer is also the owner or co-owner of AURYX (as in the case of Austria Imperial Green Gold — Association for the Research of AI-Supported Marketing of Regional Specialties), the revenue share is waived entirely. In this case, compensation is provided as a service fee pursuant to a separate data processing agreement (DPA). Attribution is still recorded, but the commission is logged with the status "waived".
For enterprise customers, individual terms may be agreed upon that differ from the standard revenue share. Such special agreements require written form and are concluded as supplementary agreements to these Terms.
The customer can view attribution data at any time in their AURYX dashboard. AURYX commits to transparent reporting of all attributed orders, revenue, and commission calculations.
